Terms of Service

1. General Provisions

These Terms of Service ("Terms") govern the manufacturing services provided by ZIYANG Manufacturing ("we," "us," or "our") to our clients ("you," "client," or "buyer"). By placing an order, requesting a sample, or engaging in any business transaction with ZIYANG, you agree to be bound by these Terms.

Nature of Business: ZIYANG is strictly a B2B (Business-to-Business) manufacturer. We do not engage in retail sales to individual consumers. Our services are tailored for brands, wholesalers, distributors, and e-commerce entities.

2. Orders & Minimum Order Quantities (MOQ)

We offer flexible production tiers to accommodate businesses at different stages of growth. Strict adherence to the following MOQ structures is required unless otherwise agreed upon in writing:

3. Samples & Prototyping

For OEM/ODM projects, a pre-production sample is required before mass production begins.

• Sample Fees: Sample fees apply and are generally refundable or deductible from the bulk order deposit if the bulk order meets specific quantity thresholds (typically >500 units/style).
• Lead Time: Sample lead times vary (typically 7-14 days) depending on fabric availability and design complexity.
• Approval: Mass production will only commence upon the client's written approval of the physical pre-production sample.

4. Intellectual Property (IP)

We respect the creativity of our partners.

• Client IP: Any designs, tech packs, logos, or patterns provided by the client remain the sole property of the client. ZIYANG will not reproduce, sell, or display these designs to third parties without express permission.
• ZIYANG IP: Ready-to-ship stock designs and proprietary fabric developments remain the intellectual property of ZIYANG unless an exclusive rights agreement is signed.

5. Payment Terms

Unless otherwise specified in a formal invoice or contract:

• Deposit: A non-refundable deposit (typically 30-50%) is required to purchase materials and schedule production.
• Balance: The remaining balance is due prior to shipment or release of the Bill of Lading.
• Currency: All transactions are settled in USD or CNY unless agreed otherwise.

6. Quality Assurance & Returns

ZIYANG operates under strict quality standards (ISO9001-F, BSCI). However, given the nature of custom manufacturing:

• Inspection: Clients are encouraged to utilize third-party inspection services (e.g., SGS, Intertek) prior to final payment and shipment.
• Defects: Claims regarding quality defects or quantity discrepancies must be made in writing within 14 days of cargo receipt.
• Returns: Custom-made (OEM/ODM) goods cannot be returned for "change of mind." Returns are only accepted for verifiable manufacturing defects that deviate significantly from the approved pre-production sample.

7. Shipping & Delivery

We ship to over 70 countries globally.

• Incoterms: Standard terms are FOB (Free on Board) or EXW (Ex Works) Yiwu/Ningbo/Shanghai, unless CIF or DDP is negotiated.
• Delays: While we strive to meet all deadlines, ZIYANG is not liable for delays caused by force majeure events, customs hold-ups, or shipping carrier logistics.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be settled through friendly negotiation or, failing that, by the competent court in Yiwu City, Zhejiang Province.
